Terms & Conditions.

The legal framework governing smart home engineering, system procurement, cabling, commissioning, and maintenance executed by Genius OWL Technologies LLC across the UAE.

We take end-to-end accountability for every installation we deliver. These terms are established in accordance with UAE Federal Law No. 15 of 2020 on Consumer Protection and UAE Commercial Transactions Law (Federal Decree-Law No. 50 of 2022).

01 / SCOPE

Scope & Contract Formation

These Terms and Conditions ("Terms") govern all design consultancy, hardware procurement, extra-low voltage (ELV) cable installation, equipment rack assembly, commissioning, and aftercare services provided by Genius OWL Technologies LLC ("Company", "we", "us") to the property owner or representative ("Client", "you") specified in an approved Proposal or Bill of Quantities (BOQ).

Signing a proposal, authorizing a procurement deposit, or granting site access to our engineers constitutes complete acceptance of these Terms.

02 / INTEGRATION STAGES

Engineering Workflow & Milestones

All turnkey automation projects proceed through four formal engineering stages:

Stage 1: Containment & Design Coordination

Reviewing MEP drawings, verifying conduit pathways, scheduling back-box positions, and coordinating with the client's lighting designer and joinery contractor.

Stage 2: First-Fix Infrastructure

Pulling certified Cat6A/Cat7, KNX bus, audio, and security cables through conduits, followed by continuity and insulation resistance testing.

Stage 3: Second-Fix Termination

Mounting smart touchscreens, architectural keypads, motorized shades, intercoms, and assembling the central AV/automation equipment rack.

Stage 4: Commissioning & Programming

Configuring scene logic against actual lux levels, tuning Wi-Fi coverage, establishing encrypted remote access, and conducting the client walkthrough.

03 / COMMERCIALS

Quotations, Payment Terms & UAE VAT

Quotations and BOQs are denominated in United Arab Emirates Dirhams (AED) and remain valid for 30 calendar days from the date of issue.

UAE VAT (5%): In compliance with UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax, VAT at 5% is applied and itemized on all commercial invoices.

Milestone Invoicing: Standard contracts are disbursed as: 50% upon contract signing (equipment order authorization); 30% upon first-fix completion and hardware staging; 15% upon second-fix mounting; and 5% upon final commissioning sign-off.

Retention of Title: Legal ownership of hardware passes to the Client only upon full receipt of corresponding invoice settlements.

04 / SITE READINESS

Client Obligations & Site Readiness

To maintain schedule integrity and protect sensitive electronics, the Client or Client's appointed contractor shall provide:

  • Access Permits: Building or community management (e.g. Emaar, Nakheel, DAMAC) contractor entry permits and gate passes.
  • Permanent Power: Stable DEWA electrical power connected before Stage 4 commissioning commences.
  • Clean Environment: Dust-free, air-conditioned rooms prior to unboxing sensitive touchpanels, amplifiers, and rack equipment.
05 / CHANGES

Variations & Change Orders

Any addition to the scope of work (additional lighting circuits, extra keypad locations, audio zones, or motorized curtain tracks) must be formalized in a written Variation Order (VO) specifying added hardware costs, programming time, and schedule adjustments prior to execution.

06 / HANDOVER

Commissioning & Handover Walkthrough

Upon completion of Stage 4 programming, our lead project engineer conducts an in-person, room-by-room walkthrough demonstrating lighting scenes, climate routines, intercom operation, and mobile access. The handover package includes as-built network diagrams and warranty documentation.

07 / WARRANTIES

Warranties & Workmanship Guarantees

Hardware Warranty

Full pass-through manufacturer warranty (1 to 5 years by brand). We manage all authorized replacements directly.

Workmanship Guarantee

12 months covering termination integrity, rack cabling, logic bug resolution, and calibration with zero labor charges.

Exclusions: Physical damage, power surges from uncertified site generators, water ingress, and unauthorized third-party modifications.

08 / SERVICE LEVELS

Annual Maintenance & Response SLAs

Our Annual Maintenance Contracts (AMC) guarantee on-site priority response times across Dubai:

Priority 1 (Critical Outage)< 30m remote / < 4h on-site
Priority 2 (Partial Zone Issue)< 2h remote / Same-day on-site
Priority 3 (Routine Modification)< 4h remote / Next business day
09 / INTELLECTUAL PROPERTY

System Code & Documentation Handover

You are never locked out of your home. Upon final project settlement, complete network maps, device IP listings, and compiled/uncompiled configuration backups are handed over for your permanent archival.

10 / LIABILITY

Limitation of Liability & Force Majeure

In accordance with UAE Civil Transactions Law (Federal Law No. 5 of 1985), neither party shall be liable for indirect or consequential damages. Total cumulative liability is capped at the service fees paid under the relevant contract.

11 / TERMINATION

Termination & Cancellation

Either party may terminate an agreement with 14 calendar days' written notice in the event of an uncured material breach. In the event of discretionary client cancellation, the client remains responsible for custom non-returnable equipment already ordered and labor completed to date.

12 / GOVERNING LAW

Governing Law & Jurisdiction

These Terms are governed by the Federal Laws of the United Arab Emirates and the local regulations of the Emirate of Dubai. Unresolved disputes shall fall under the exclusive jurisdiction of the competent Courts of Dubai or, by written agreement, the DIFC Courts.
